Section 14 of the Inland Revenue Ordinance — explained simply
Section 14 of the Inland Revenue Ordinance (IRO) is the foundation of Hong Kong's Profits Tax regime. It states that Profits Tax is charged on every person carrying on a trade, profession, or business in Hong Kong in respect of assessable profits arising in or derived from Hong Kong.
The critical phrase is "arising in or derived from Hong Kong." If your profits do not arise in Hong Kong — meaning the activities that generated them occurred outside Hong Kong — those profits are outside the scope of Profits Tax entirely.
This is not a loophole or a grey area. The IRD itself has confirmed in numerous rulings and a comprehensive Departmental Interpretation and Practice Note (DIPN No. 21) that offshore profits are excluded from Profits Tax. The offshore claim process exists precisely because the legislature intended this exemption to apply.
The IRD's source of profits test — three key criteria
The place where the contract giving rise to profits is negotiated and concluded is a primary factor. Contracts signed via email or DocuSign between parties outside Hong Kong are concluded outside Hong Kong.
For service businesses, the place where the services are performed determines the source. A consultant working remotely in Europe serving European clients renders services outside Hong Kong.
For trading companies, the location where title to goods passes from seller to buyer is decisive. Trading between mainland China and Southeast Asia, with title passing outside HK, produces offshore profits.

How the offshore profits exemption is claimed — step by step
