WHAT IS TCSP?

Understanding the TCSP Licence

A Trust or Company Service Provider (TCSP) licence is issued by the Companies Registry of Hong Kong under the Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615). It is required by law for any person or business providing company formation, company secretary, or registered office services for profit in Hong Kong.

The TCSP licensing regime was introduced to combat money laundering and terrorist financing through corporate structures. Licensed TCSPs must implement rigorous KYC (Know Your Client) procedures, conduct ongoing customer due diligence, train staff on AML obligations, and submit to periodic compliance audits.

What TCSP licensing means for you

When you use a licensed TCSP like HEVEA HK to form your company, you are working with a regulated professional — not an anonymous internet vendor. Your company is formed in full compliance with Hong Kong law. The KYC process we conduct protects you as much as it protects Hong Kong's regulatory environment.

Important: Operating as a TCSP without a licence in Hong Kong is a criminal offence, punishable by a fine of up to HK$100,000 and 6 months imprisonment. Always verify that your service provider is licensed before engaging them.

Verify Our Licence

Under AMLO, we are legally required to verify the identity of all clients before providing services. This is not optional and cannot be waived.

We collect and verify identity documents for all directors and shareholders: passport and proof of residential address. Documents are checked against databases for authenticity.

All submitted documents are reviewed for authenticity and consistency. We run sanctions screening and PEP (Politically Exposed Person) checks on all individuals associated with the company.

We assess the proposed business activities, jurisdictions involved, and client profile against our risk framework. Higher-risk profiles may require enhanced due diligence and additional documentation.

What You Receive

After incorporation, you receive the official Hong Kong Companies Registry documents that prove your company's legal existence. Here is what each document means.

Certificate of Incorporation

Issued by the Companies Registry, this document confirms your company's legal existence, registration number, and date of incorporation. It is the foundational proof that your company is a legally registered entity under Hong Kong law. Required for opening bank accounts, signing contracts, and most government applications.

Business Registration Certificate

Issued by the Inland Revenue Department (IRD), this certificate confirms your business is registered for tax purposes in Hong Kong. It must be renewed annually and displayed at your principal place of business (your registered office address fulfils this). Required for most commercial transactions and bank account applications.

Articles of Association

Also called the constitution, this document sets out the rules governing your company's internal management: director powers, shareholder meeting procedures, share transfer rules, and more. Prepared by HEVEA HK using standard Hong Kong law-compliant articles; can be customised for specific investor or governance requirements.

Document Delivery & Storage

All documents are delivered digitally within 24 hours of incorporation and stored securely in your client portal indefinitely. Physical certified copies can be requested at any time. Certified true copies for banking and third-party use are available on request.

DATA PROTECTION

How We Protect Your Data

Your KYC documents and personal information are handled with strict security controls and in full compliance with Hong Kong's Personal Data (Privacy) Ordinance Cap. 486.

Encryption in Transit & at Rest

All data transmitted to and from our systems uses TLS 1.3 encryption. Data stored on our servers is encrypted at rest. No plaintext storage of sensitive documents.

PDPO Compliance

We comply fully with the Personal Data (Privacy) Ordinance Cap. 486. You have the right to access, correct, and request deletion of your personal data held by us.

Data Retention Policy

We retain client data for the minimum period required by law — typically 6 years for AML records under AMLO. After this period, data is securely deleted per our retention schedule.

Access Control

Access to client data is restricted to authorised HEVEA HK staff on a need-to-know basis. We do not sell, share, or monetise client data under any circumstances.

What We Store and Why

We store identity documents for AML compliance, correspondence records for company secretary duties, and company documents for client access. Nothing beyond what is legally necessary.

Third-Party Security

Any third-party providers we use are selected for their compliance with international data security standards. We do not use unvetted services for client data storage or processing.

OUR LIMITS

What We Will Not Do

Trust is built by clarity about what we do — and what we refuse. These are our firm limits, no exceptions.

No Anonymous Structures

We do not provide nominee director services to create anonymous ownership structures. Where nominee directors are used, the real beneficial owner is always recorded in the Significant Controllers Register and our internal KYC files. We do not facilitate hidden ownership for any reason.

No Tax Evasion Schemes

We explain Hong Kong's legal offshore profits tax exemption — a legitimate provision of Hong Kong tax law. We do not assist with aggressive tax avoidance schemes, sham transactions, or structures designed to misrepresent the source of income to tax authorities anywhere in the world.

No Services to Sanctioned Persons

We conduct sanctions and PEP screening on all clients. We do not provide services to individuals or entities on international sanctions lists, or to businesses involved in activities prohibited under Hong Kong law. If our screening raises concerns, we will decline or terminate the engagement.
